1. Introduction & Acceptance

These Terms of Service ("Terms") govern your access to and use of the ACEx website, the ACEx and ACExInterview desktop applications, and all related services (together, the "Platform"), operated by ACEx Technologies ("Company", "we", "us", or "our").

By creating an account, downloading any of our applications, or otherwise using the Platform, you ("User" or "you") agree to these Terms, our Privacy Policy, and our Cancellation & Refund Policy. If you do not agree, do not use the Platform.

Age: You must be at least 18 years old to create an account or use the Platform. By using it, you confirm that you are 18 or older. If we learn that a user is under 18, we will close the account and delete its data.

2. Description of Service

• ACEx is a Windows desktop overlay with AI, for exam preparation, self-study, homework practice, and learning.
• ACExInterview is a free Windows application for interview preparation and practice. It can listen to questions through your microphone and suggest answers based on the resume and notes you provide.

Preparation and practice only: The Platform is built for preparation, practice, and learning. You must not use it during any live or graded examination, test, quiz, assessment, or proctored session, or in any interview, where the use of outside help is not allowed by the people running it.

AI answers can be wrong: Answers are generated by third-party AI models and may be inaccurate, incomplete, or out of date. You are responsible for checking anything you rely on.

Non-affiliation: ACEx is independent. We are not affiliated with, endorsed by, or connected to any examination board, testing agency, educational institution, employer, interview platform, or online assessment provider.

3. Your Responsibility for How You Use ACEx

We provide tools for preparation and practice. How, where, and when you use them is entirely your own decision and your own responsibility.

• You alone are responsible for making sure your use of the Platform is lawful and is allowed by the rules of any school, university, examination body, employer, interviewer, or platform involved.
• You alone bear every consequence of how you use the Platform, including academic, disciplinary, employment, financial, civil, and criminal consequences.
• We do not monitor, direct, approve, or take part in how you use the Platform, and we do not encourage any use that breaks a law or a rule.
• Any unlawful, unauthorised, or prohibited use is carried out solely at your own risk. To the fullest extent permitted by law, ACEx Technologies and its owners, founders, directors, employees, contractors, and partners accept no responsibility or liability for it, and it is not attributable to them.
• We are not a party to any dispute between you and any institution, employer, examination body, or other third party.
• If you use ACExInterview or any audio feature on a call, you are responsible for getting any consent the law requires from the other people on the call before their voice is captured or processed.

4. User Accounts

You must give accurate information when you register and keep it up to date. You are responsible for keeping your login details confidential and for everything that happens under your account. Tell us at once if you think someone else has accessed it.

Each person may hold only one account. Paid plans are bound to the first device you log in on. Sharing an account, or using it on several devices at once, is not allowed and may lead to the device being blocked or the account being suspended.

5. Acceptable Use

You agree to use the Platform only for lawful, personal preparation and learning. You must not:

• Use the Platform during a live or graded examination, assessment, proctored session, or interview where outside help is not allowed.
• Break the academic integrity rules, honour codes, or conduct policies of any school, university, employer, or examination body.
• Upload or share confidential, live, or leaked examination papers or questions, or material you do not have the right to share.
• Record or process another person's voice or personal data without the consent the law requires.
• Share, resell, or sublicense your account or access.
• Reverse engineer, decompile, modify, scrape, or misuse the Platform, its applications, or its APIs.
• Use the Platform for anything illegal, including fraud, impersonation, or cybercrime.

We may suspend or permanently close any account that breaks this section, without notice and without refund, and we may cooperate with lawful requests from authorities.

6. Third-Party Services and Your API Keys

Some features use third-party services, such as AI model providers. If you add your own API keys, your use of those providers is also governed by their terms, and you are responsible for your keys, usage, and any charges from those providers. We are not responsible for the availability, cost, or output of third-party services.

7. Payments

ACExInterview and the ACEx free plan are free. Paid plans (Lite, Pro, and Elite) give access for a fixed number of days and are priced in Indian Rupees (INR) for users in India and US Dollars (USD) for users elsewhere. Payments are processed by Razorpay; we do not store your card details.

No automatic renewal: Every plan is a one-time payment. Plans do not renew, and you are never charged again unless you choose to buy another plan. Your access ends automatically at the end of the period you paid for.

Taxes and refunds: Prices include applicable taxes, including GST, unless stated otherwise. Refunds are covered by our Cancellation & Refund Policy.

8. Intellectual Property

The Platform's software, designs, logos, and content are owned by the Company or its licensors and are protected by Indian and international intellectual property laws. You receive a limited, personal, non-transferable licence to use the applications while your account is in good standing.

Your content: You keep ownership of the questions, prompts, resumes, and other content you submit. You give us a limited licence to process and transmit that content only to provide the Platform to you.

Trademarks: Third-party names and trademarks mentioned on the Platform belong to their owners and are used only to describe compatibility or features.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE MAKE NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ABOUT THE ACCURACY OF AI ANSWERS, AVAILABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

We do not guarantee any score, result, grade, job offer, or other outcome.

10. Limitation of Liability

To the fullest extent permitted by law, the Company and its owners, founders, directors, employees, and partners are not liable for any indirect, incidental, special, or consequential loss, or for any loss arising from your use or misuse of the Platform, including any use that breaks a law or a third party's rules.

Our total liability for any claim relating to the Platform is limited to the amount you paid us in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnity

You agree to indemnify and hold harmless the Company and its owners, founders, directors, employees, contractors, and partners from any claim, demand, loss, damage, penalty, cost, or legal fee arising out of or relating to:

• your use or misuse of the Platform;
• any breach of these Terms, of any law, or of the rules of any institution, employer, or examination body;
• any content you submit, or any recording or processing of another person's data through your use of the Platform.

12. Suspension and Termination

You may stop using the Platform at any time, and you can ask us to delete your account by emailing support@acex.wtf. We may suspend or close your account if you break these Terms, if required by law, or to protect the Platform or other users. Sections 3, 9, 10, 11, and 15 continue to apply after your account is closed.

13. Grievance Redressal

In line with the Information Technology Act, 2000 and the rules made under it, complaints about content, data, or the service can be sent to our Grievance Officer:

We acknowledge complaints within 24 hours and aim to resolve them within 15 days of receipt.

14. Takedown Requests

We comply with valid court orders, lawful government directions, and copyright notices, and remove access to unlawful content within the time required by law. To send a takedown request, email support@acex.wtf with details of the content and proof of your rights.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute arising from or relating to these Terms or the Platform is subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

16. Changes to These Terms

We may update these Terms. When we make a material change, we will update the date at the top of this page and may also tell you by email or on the website. If you keep using the Platform after a change, you accept the updated Terms.

If any part of these Terms is found unenforceable, the rest stays in effect.
